These Terms of Service (“Terms”) govern your access to and use of elixirls.com, your ELIXIR Life Sciences account, Buyer Qualification, product information, cart, checkout, payment, order, customer-service features, and related services (collectively, the “Site”). The Site is operated by ElixirLS LLC d/b/a ELIXIR Life Sciences (“ELIXIR,” “we,” “us,” or “our”).

By accessing the Site, creating an account, completing Buyer Qualification, submitting an order, checking an acknowledgement box, or purchasing from ELIXIR, you agree to these Terms, our Privacy Policy, Return & Refund Policy, Shipping Policy, Payment & Billing Policy, Research Use & Purchaser Waiver / Indemnity, Contact Information, Legal Notice, and any other policy linked on the Site or at checkout.

If you do not agree, or if you cannot truthfully make the representations required by these Terms, do not use the Site, create an account, complete Buyer Qualification, place an order, or purchase products from ELIXIR.

1. Research Use Only and Prohibited Use

ELIXIR products are supplied strictly for lawful laboratory Research Use Only by qualified purchasers. For purposes of these Terms, “Prohibited Use” means any human use, animal use, veterinary use, consumption, ingestion, injection, inhalation, topical application, implantation, dosing, administration, diagnosis, treatment, cure, mitigation, prevention of disease, therapeutic use, clinical use, cosmetic use, food use, dietary-supplement use, household use, athletic or performance use, anti-aging use, weight-loss use, personal use, or any other non-research use.

You must not purchase, use, direct another person to use, provide, resell, transfer, divert, relabel, repackage, compound, dispense, prescribe, or make available any ELIXIR product for Prohibited Use.

Statements on the Site have not been evaluated by the U.S. Food and Drug Administration. ELIXIR products are supplied strictly for Research Use Only and are not offered, marketed, or sold for use as drugs, prescription medications, foods, dietary supplements, cosmetics, or medical devices. ELIXIR products are not offered for human or animal use and are not intended to diagnose, treat, cure, mitigate, or prevent any disease. ELIXIR does not sell controlled substances or prescription drugs.

2. Eligibility; 21+ Requirement

You must be at least 21 years old to create a qualified account, complete Buyer Qualification, place an order, or purchase products from ELIXIR. ELIXIR does not knowingly sell to minors. ELIXIR may deny access, qualification, checkout, fulfillment, or future service if we determine that a customer is under 21, supplied inaccurate age information, or cannot truthfully make the required representations.

3. Account and Buyer Qualification

An ELIXIR account and completed Buyer Qualification are required to purchase. Buyer Qualification requires accurate information including date of birth, 21+ age confirmation, field of qualified research, Company / Organization, Research Use Only acknowledgement, Terms acknowledgement, Privacy acknowledgement, and related eligibility information.

By creating an account, completing Buyer Qualification, or placing an order, you represent that:

you are at least 21 years old;
all information you provide is accurate, current, complete, and belongs to you or to the organization you are authorized to represent;
you are purchasing only for lawful laboratory research;
you are purchasing in connection with a legitimate laboratory, academic, analytical, institutional, commercial, or other lawful research purpose consistent with the information and representations provided through Buyer Qualification, including your field of qualified research and Company / Organization;
you have the responsibility, authorization, facilities, procedures, and capability to receive, store, handle, and use research materials safely and lawfully;
you will not engage in Prohibited Use;
you will comply with all applicable federal, state, local, institutional, safety, shipping, and industry requirements; and
you will not bypass, mislead, interfere with, or circumvent ELIXIR’s account, age, Buyer Qualification, acknowledgement, payment, shipping, order-review, or compliance controls.

Buyer Qualification is required, but it is not an entitlement to purchase. Account creation, qualification, an order confirmation, or successful payment authorization does not require ELIXIR to accept, fulfill, or ship any order.

ELIXIR may approve, deny, suspend, reset, revoke, or request updated Buyer Qualification information when appropriate for eligibility, accuracy, compliance, fraud prevention, payment review, safety, order review, policy enforcement, or operational reasons.

4. Accurate Information and Account Security

You are responsible for keeping your account, contact, billing, shipping, Company / Organization, and qualification information accurate and current. You must not create an account using false information, another person’s information, misleading organization information, or information that misrepresents your eligibility or research context.

You are responsible for activity through your account except to the extent prohibited by applicable law. If you believe your account or payment information has been compromised, contact ELIXIR promptly.

5. Purchaser Responsibilities and Restricted Conduct

You agree not to:

purchase or attempt to purchase products if you are under 21;
provide false, misleading, incomplete, outdated, or unverifiable Buyer Qualification information;
request dosing, administration, injection, ingestion, reconstitution, human-use, animal-use, treatment, protocol, cycle, stack, application, or therapeutic guidance;
include order notes, support requests, reviews, messages, or communications suggesting Prohibited Use;
resell, redistribute, transfer, divert, relabel, repackage, compound, dispense, prescribe, or supply products for Prohibited Use;
use the Site or products in violation of law, institutional rules, safety requirements, or these Terms;
attempt to bypass account, age, Buyer Qualification, RUO acknowledgement, checkout, payment, fraud, or shipping controls; or
interfere with Site security, payment processing, checkout, inventory, account systems, or documentation systems.

Communications suggesting Prohibited Use may result in order cancellation, account restriction, Buyer Qualification revocation, preservation of relevant records, and refusal of future service.

6. Product Information, Lots, COAs, and Laboratory Documentation

Each product offered for sale by ELIXIR is supported by applicable lot-specific laboratory documentation, including its Certificate of Analysis, made available through the Site. Product names, mass options, variants, scientific identifiers, specifications, lot records, COAs, and laboratory documentation are provided for product identification, batch or lot review, research purchasing, and documentation review only.

Documentation does not provide medical, veterinary, clinical, diagnostic, therapeutic, dosing, administration, or application guidance. Do not rely on documentation associated with a different product, variant, lot, or batch as a substitute for documentation associated with the product supplied.

7. No Medical, Veterinary, or Professional Advice

ELIXIR is a Research Use Only supplier. ELIXIR does not operate as a pharmacy, compounding pharmacy, outsourcing facility, medical provider, veterinary provider, diagnostic laboratory, treatment provider, or clinical advisor. ELIXIR does not compound or dispense prescription drugs and does not provide medical, veterinary, dosing, administration, reconstitution, preparation, protocol, application, diagnosis, treatment, or therapy guidance.

8. Orders; Review; Refusal; Cancellation

All orders are subject to acceptance by ELIXIR. Receipt of an order confirmation, account qualification, checkout completion, or payment authorization does not guarantee acceptance, shipment, or fulfillment.

ELIXIR may review, hold, request information about, decline, cancel, refund, restrict, suspend, or refuse any order before shipment or fulfillment for reasons including:

incomplete, inaccurate, inconsistent, or unverifiable account or Buyer Qualification information;
underage, unqualified, suspicious, or Prohibited Use concerns;
order notes or communications suggesting Prohibited Use;
payment authorization issues, suspected fraud, duplicate transactions, unauthorized payment concerns, chargeback risk, or billing/shipping mismatch;
inventory, pricing, discount, product, documentation, listing, address, carrier, or fulfillment errors;
shipping restrictions, destination restrictions, carrier limitations, force majeure, or legal concerns;
violation or suspected violation of these Terms or other ELIXIR policies; or
operational, safety, compliance, or risk-review concerns.

If ELIXIR cancels an order after payment has been received or captured, any eligible refund will be issued in accordance with ELIXIR review, the Return & Refund Policy, and applicable law. Refund method and timing may vary based on the payment method and applicable financial institutions or service providers.

9. Pricing, Taxes, Discounts, and Errors

Prices are shown in U.S. dollars unless otherwise stated. Prices, product availability, variants, volume discounts, promotions, taxes, and shipping charges may change without notice.

Volume discounts, if offered, apply only as shown in cart and checkout at the time of purchase. Discounts are not valid unless reflected in the final checkout total. ELIXIR may correct pricing, discount, tax, shipping, product, or calculation errors and may cancel or contact you about affected orders before fulfillment.

You are responsible for applicable taxes, shipping charges, carrier fees, or similar amounts unless checkout states otherwise.

10. Payment and Billing

Payment must be completed through the payment methods made available at checkout. For manual payment methods, order processing begins only after ELIXIR verifies actual receipt against the order and marks the order paid; an order acknowledgement or confirmation, screenshot, payment claim, or other customer-submitted proof does not establish receipt. Available payment methods may change. ELIXIR does not store full payment-card numbers on the Site. Payment information is processed by Shopify and payment processors or financial service providers according to their own security and privacy practices.

You agree to provide accurate billing and payment information and to use only payment methods you are authorized to use. ELIXIR may decline, cancel, hold, or review orders for payment failure, suspected fraud, duplicate payment, chargeback risk, billing inconsistency, unauthorized payment, or processor requirements.

11. Shipping

ELIXIR ships within the United States only, excluding U.S. territories and international destinations. Shipping options, rates, restrictions, and estimated delivery times are shown at checkout when available. Processing time is separate from carrier transit time. Delivery estimates are not guarantees unless expressly stated in writing by ELIXIR.

You are responsible for providing a complete, accurate, and deliverable shipping address within ELIXIR’s shipping area. ELIXIR may use appropriate safeguards for individual orders when necessary, including identity verification, billing-address verification, order confirmation, payment review, compliance review, account-history review, or other lawful security and fraud-prevention measures.

12. Returns, Refunds, Replacements, and Credits

Returns, refunds, replacements, credits, cancellations, and reshipments are governed by the Return & Refund Policy. Because ELIXIR products are RUO materials, eligibility is limited and subject to order, payment, fulfillment, carrier, product integrity, product condition, packaging, storage/handling, documentation, and compliance review.

Change-of-mind returns are not accepted. ELIXIR does not provide refunds merely because a customer changed their mind, ordered by mistake, no longer wants a product, or no longer needs a product.

13. Cancellations

Cancellation requests must be submitted as soon as possible by contacting ELIXIR. ELIXIR may approve a cancellation if the order has not been processed, packed, transferred to fulfillment, assigned for shipment, shipped, or otherwise committed to fulfillment. Once processing has begun, cancellation may not be available. ELIXIR may cancel an order before shipment for the reasons described in these Terms.

14. Chargebacks and Payment Disputes

If you have a billing question, duplicate-charge concern, refund question, damaged shipment, missing order issue, or unauthorized-charge concern, contact ELIXIR first so we can review the order and transaction. Nothing in these Terms waives lawful chargeback rights or rights that cannot be waived under applicable law.

If a chargeback, payment dispute, fraud claim, retrieval request, or processor inquiry occurs, ELIXIR may provide relevant order, payment, fulfillment, shipping, account, Buyer Qualification, acknowledgement, attestation, communication, and policy-acceptance records to Shopify, payment processors, card networks, banks, carriers, fraud-prevention providers, service providers, advisors, or legal authorities as reasonably necessary to investigate, respond, defend, resolve, or comply with the request.

15. Intellectual Property and Site Use

The Site, ELIXIR name, branding, logos, product presentation, photography, copy, graphics, page layouts, design elements, documents, and other content are owned by or licensed to ELIXIR unless otherwise stated. You may not copy, reproduce, modify, distribute, scrape, republish, sell, exploit, or create derivative works from Site content except as permitted by law or with written permission.

You may use product information and documentation for legitimate product review and research purchasing records, provided you do not alter, misrepresent, misuse, or republish it in a misleading or unlawful way.

16. Shopify and Third-Party Services

The Site is powered by Shopify and may use third-party service providers for hosting, checkout, payment processing, customer accounts, analytics, security, fraud prevention, email, shipping, fulfillment, support, documentation, and other operational purposes. Your use of those services may also be subject to their terms and privacy policies.

17. Suspension, Revocation, and Refusal of Service

ELIXIR may suspend or terminate access, revoke Buyer Qualification, restrict checkout, cancel orders, refuse future service, or request additional information when reasonably necessary for eligibility, safety, payment, fraud-prevention, compliance, documentation, operational, legal, or policy-enforcement reasons.

18. Disclaimer of Warranties

To the maximum extent permitted by law, the Site, product information, documents, and services are provided on an “as is” and “as available” basis. ELIXIR disclaims warranties not expressly stated in these Terms or required by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, uninterrupted availability, and suitability for Prohibited Use.

No product is warranted or represented to be safe, suitable, approved, or lawful for Prohibited Use.

19. Limitation of Liability

To the maximum extent permitted by law, ELIXIR will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for lost profits, lost revenue, loss of data, loss of goodwill, business interruption, or costs associated with Prohibited Use, misuse, unlawful use, inaccurate representations, unauthorized resale, diversion, improper storage, improper handling, or non-research use of products.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

20. Indemnity

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless ElixirLS LLC d/b/a ELIXIR Life Sciences, its owners, officers, directors, employees, contractors, agents, service providers, affiliates, successors, and assigns from and against claims, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

your breach of these Terms or other ELIXIR policies;
false, misleading, incomplete, or inaccurate account, Buyer Qualification, billing, shipping, or order information;
Prohibited Use, misuse, unlawful use, unauthorized resale, diversion, transfer, relabeling, repackaging, or non-research use of products;
your violation of applicable law, institutional requirements, safety rules, shipping rules, or third-party rights;
your communications, representations, or conduct related to products or orders; or
any claim by a third party arising from your purchase, possession, storage, handling, transfer, or use of products except to the extent caused by ELIXIR’s conduct for which liability cannot be limited by law.

21. Governing Law and Venue

These Terms and any dispute arising from or relating to the Site, policies, accounts, Buyer Qualification, products, orders, payment, shipping, or customer communications are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules.

Unless applicable law requires another forum, disputes will be brought in the state or federal courts located in Wyoming with appropriate jurisdiction and venue.

22. Changes to Terms

ELIXIR may update these Terms from time to time. Updated Terms will be posted on the Site with an updated date. ELIXIR may require renewed acknowledgement or Buyer Qualification re-attestation before future purchases when policy changes are material to eligibility, privacy, RUO restrictions, payment, or order compliance.

23. Severability; Waiver

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law. ELIXIR’s failure to enforce a provision does not waive the right to enforce it later.
