Research Use & Purchaser Waiver / Indemnity

This Research Use & Purchaser Waiver / Indemnity is incorporated into the ELIXIR Terms of Service and applies to every account, Buyer Qualification, order, purchase, possession, handling, transfer, and use of ELIXIR products.

1. Purchaser Eligibility

By creating an account, completing Buyer Qualification, placing an order, or purchasing products from ELIXIR, you represent that you are at least 21 years old and that you are purchasing only in connection with a legitimate laboratory, academic, analytical, institutional, commercial, or other lawful research purpose consistent with the information and representations provided through Buyer Qualification, including your field of qualified research and Company / Organization.

2. Research Use Only

All ELIXIR products are supplied strictly for lawful laboratory Research Use Only. Products are not intended for, and must not be used for, human use, animal use, veterinary use, consumption, ingestion, injection, inhalation, topical application, implantation, dosing, administration, diagnosis, treatment, cure, mitigation, prevention of disease, therapeutic use, clinical use, cosmetic use, food use, supplement use, personal use, or any non-research purpose.

3. U.S. FDA and Regulatory Notice

Statements on the Site have not been evaluated by the U.S. Food and Drug Administration. ELIXIR products are supplied strictly for Research Use Only and are not offered, marketed, or sold for use as drugs, prescription medications, foods, dietary supplements, cosmetics, or medical devices. ELIXIR products are not offered for human or animal use and are not intended to diagnose, treat, cure, mitigate, or prevent any disease. ELIXIR does not sell controlled substances or prescription drugs.

4. Purchaser Responsibility

You are solely responsible for determining whether purchase, possession, storage, handling, transfer, and research use of any product is lawful and appropriate for your research context, location, organization, procedures, and applicable rules. You are responsible for appropriate facilities, safeguards, procedures, training, authorization, and documentation for lawful research handling.

5. No Medical or Veterinary Advice

ELIXIR does not provide medical, veterinary, clinical, diagnostic, therapeutic, dosing, administration, reconstitution, compounding, protocol, application, or human/animal-use guidance. You agree not to request or rely on ELIXIR for such guidance.

6. Prohibited Use

You must not use, provide, direct, resell, transfer, divert, relabel, repackage, compound, dispense, prescribe, or make available any ELIXIR product for Prohibited Use as defined in the Terms of Service.

7. Laboratory Documentation

Each product offered for sale by ELIXIR is supported by applicable lot-specific laboratory documentation, including its Certificate of Analysis, made available through the Site. Documentation is provided for product identification, lot review, research purchasing, and record review, not for Prohibited Use.

8. Indemnity

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless ElixirLS LLC d/b/a ELIXIR Life Sciences, its owners, officers, directors, employees, contractors, agents, service providers, affiliates, successors, and assigns from and against any claims, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• false, misleading, incomplete, or inaccurate account, Buyer Qualification, billing, shipping, or order information;
• Prohibited Use, misuse, unlawful use, unauthorized resale, diversion, transfer, relabeling, repackaging, or non-research use;
• your violation of ELIXIR policies, applicable law, institutional rules, safety rules, shipping rules, or third-party rights;
• your purchase, possession, storage, handling, transfer, or use of products outside lawful laboratory research; or
• claims by any third party arising from your conduct, representations, use, storage, handling, transfer, or misuse of products, except to the extent caused by ELIXIR’s conduct for which liability cannot be limited under applicable law.

9. No Waiver of Non-Waivable Rights

Nothing in this waiver excludes or limits rights or liabilities that cannot be excluded or limited under applicable law. This waiver is intended to be interpreted to the maximum extent permitted by law.

10. Acknowledgement

By creating an account, completing Buyer Qualification, checking an acknowledgement box, placing an order, or purchasing from ELIXIR, you confirm that you have read, understood, and agreed to this Research Use & Purchaser Waiver / Indemnity.
